Operated by AppWell Inc. (“AppWell”, “we”, “our”, “us”)
These Terms of Use (“Terms”) govern your access to and use of the AppWell platform and its white-label branded versions (collectively, the “Platform”). By creating an account, accessing the Platform, or using any part of the Platform, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use the Platform.
1. Nature of the Platform
The Platform provides wellness technology tools, non-clinical AI features, educational content, and profiles that allow users, students, and counsellors to connect.
AppWell does not provide:
Counselling, psychotherapy, or clinical services
Diagnosis, treatment recommendations, or medical care
Crisis or emergency response
Storage of personal health information (PHI)
Hosting for therapy sessions
Any counselling, coaching, educational, or wellness services delivered by counsellors occur outside the Platform using third-party tools of their choice.
AppWell is not a healthcare provider and does not supervise, validate, or oversee any services offered by counsellors.
2. Eligibility
To use the Platform, you must:
Be at least 18 years old, or
Have the involvement and consent of a parent or legal guardian, unless otherwise permitted through institutional access (e.g., student accounts).
By using the Platform, you confirm that you meet these requirements.
3. User Responsibilities
You agree to:
Use the Platform only for lawful and personal purposes
Provide accurate and truthful information
Not attempt to impersonate others
Not use the Platform to provide medical, legal, therapeutic, or professional advice
Not rely on any AI-generated content as a substitute for professional care
If you choose to engage with a counsellor, you understand the relationship is solely between you and the counsellor, not AppWell.
4. AI Features and Limitations
The Platform includes AI-assisted tools that may generate:
Wellness insights
Educational guidance
Journaling prompts
General informational content
AI outputs may be incomplete, inaccurate, or not applicable to your situation.
You agree that:
AI features are non-clinical
AI outputs are not therapeutic, diagnostic, or medical
AI content should not be relied upon for decisions involving health or safety
You are responsible for evaluating and interpreting AI-generated information
AppWell is not responsible for harm or loss resulting from your reliance on AI-generated content.
5. Counsellors and Third-Party Services
The Platform may allow counsellors to create profiles, list information, or share resources.
Counsellors are:
Independent professionals
Not employees, agents, or representatives of AppWell
Solely responsible for their services, conduct, and compliance with laws and regulations
Any communication or session:
Does not occur on the Platform
Is delivered via third-party tools (e.g., Zoom, JaneApp, email, phone) selected by the counsellor
Is not monitored, stored, or reviewed by AppWell
You acknowledge that AppWell is not responsible for:
The quality or outcome of services provided by counsellors
Any fees charged by counsellors
The privacy practices of third-party platforms
6. Account Security
You are responsible for:
Maintaining the confidentiality of your account
Preventing unauthorised access
All activities under your account
If you believe your account has been compromised, notify us immediately at:

7. Payments, Subscriptions, and Refund Policy
If the Platform offers paid features, subscriptions, or listings:
All payments are processed through approved third-party payment processors
Fees will be disclosed at the time of purchase
Subscription terms, renewals, and cancellations will be clearly presented
All Sales Final
All fees and payments are non-refundable.
Exception requests may be reviewed by AppWell at its sole discretion.
8. Intellectual Property & Licence Grant
All content, software, AI models, branding, and materials available through the Platform are the property of AppWell or its licensors.
Users are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes.
You may not:
Copy, reproduce, or distribute Platform content
Reverse-engineer or modify the Platform
Use the Platform to develop competing products
Sell or license access to the Platform or any data obtained from it
9. Prohibited Conduct
You agree not to:
Use the Platform for harmful, illegal, or abusive purposes
Attempt to bypass security features
Upload harmful code or attempt to disrupt Platform operations
Misrepresent your identity or credentials
Harass other users or counsellors
Use the Platform to provide professional therapy services (unless formally authorised in future regulated environments)
Violation may result in account suspension or termination.
10. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranties of any kind.
AppWell does not guarantee:
Accuracy of AI-generated content
Accuracy of counsellor profiles
Continuous or error-free operation
That the Platform will meet your expectations
Your use of the Platform is at your own risk.
11. Limitation of Liability
To the maximum extent permitted by law:
AppWell, its officers, employees, contractors, and affiliates are not liable for:
Any harm, loss, or damages resulting from Platform use
Actions or services of counsellors
Third-party tools or integrations
Inaccurate or incomplete AI outputs
Data breaches beyond our reasonable control
Indirect, incidental, special, punitive, or consequential damages
In all cases, AppWell’s total liability shall not exceed:
CAD $100 or the amount you paid to use the Platform in the previous 12 months, whichever is greater.
12. Indemnification
You agree to indemnify and hold harmless AppWell from any claims, losses, liabilities, or expenses arising from:
Your use of the Platform
Your reliance on AI outputs
Your interactions with counsellors
Your violation of these Terms
Any content you submit or actions you take on or through the Platform
13. Suspension & Termination
AppWell may suspend or terminate access to the Platform at any time, including for:
Violation of these Terms
Security or regulatory concerns
Misuse of AI tools
Illegal or harmful behaviour
Upon termination:
Your licence to use the Platform ends
Your access may be removed without notice
AppWell is not liable for any resulting damages
14. Governing Law
These Terms are governed by the laws of the Province of Ontario, and the federal laws of Canada applicable therein.
Disputes must be brought in a court located in Ontario, unless prohibited by law.
15. Changes to These Terms
AppWell may update these Terms at any time.
The “Last Updated” date will reflect the most recent version.
Continued use of the Platform constitutes acceptance of the revised Terms.
